About sound corporate governance at SMEs:
We consider the implementation of no less than five processes as the best approach to sound corporate governance to follow. These are:
- Amending the Memorandum of Incorporation of the Company to reflect the wishes and aspirations of the founders, including providing for the development of a board charter;
- Developing a board charter – and board committee charters if applicable – the terms of which are accepted by each director per his/her letter of appointment;
- Letters of appointment as a director to be issued to each person, and signed in acceptance;
- A shareholders’ agreement, with the company as is a party thereto;
- Optionally, letters of employment to be issued to those who are expected to deliver certain outputs in exchange for a fixed monthly salary.
